Usage-based communication services
Subscription-based access to AI systems
All services are delivered electronically and may involve third-party infrastructure.
3. Nature of AI Services
All agents provided by The Intellectual Stew LLC are artificial intelligence systems, not human employees.
Our AI agents:
Are not licensed professionals
Do not provide legal, medical, financial, or professional advice
Should not be relied upon for critical or regulated decision-making
Clients are responsible for determining appropriate use.
4. Custom Services & No-Refund Policy
Many of our services involve custom configuration, setup, or agent development.
Due to the digital and customized nature of our services:
All sales are final
No refunds are provided for:
Custom AI agent builds
Setup or configuration fees
Subscription fees once service has begun
Usage-based minutes that have been allocated or used
This policy applies regardless of usage level or perceived outcome.
5. Billing & Payments
Subscription Billing
Subscription services are billed automatically on a recurring basis
Billing begins once service is activated
Charges continue until cancellation
Usage-Based (Minute) Billing
Usage is calculated based on active conversation or call time
Minutes are deducted as services are used
Unused minutes do not roll over unless explicitly stated
Clients are responsible for monitoring usage.
6. Cancellation Policy
Clients may cancel services at any time unless otherwise stated.
Cancellation prevents future billing
Cancellation does not result in refunds for prior charges
Unused minutes or partial billing periods are not refundable
7. Service Modifications
Once an AI agent is live:
Minor updates may be permitted depending on the plan
Major changes, new workflows, or reconfiguration may require additional fees
The Intellectual Stew LLC reserves the right to determine what constitutes a major modification.
8. Ownership & Licensing
All AI systems, software, prompts, configurations, and infrastructure remain the property of The Intellectual Stew LLC.
Clients are granted a limited, non-transferable right to use the services during an active subscription or agreement.
No ownership rights are transferred.
9. Acceptable Use
Clients agree not to:
Use services for unlawful purposes
Collect sensitive personal, medical, or financial data without authorization
Misrepresent AI agents as human employees
Attempt to reverse-engineer or misuse the systems
We reserve the right to suspend or terminate service for misuse.
10. Service Availability
While we strive for reliability, services are provided “as is” and “as available.”
The Intellectual Stew LLC does not guarantee:
Uninterrupted service
Error-free performance
Continuous availability
Downtime may occur due to maintenance, third-party outages, or technical limitations.
11. Limitation of Liability
To the fullest extent permitted by law, The Intellectual Stew LLC shall not be liable for:
Indirect or consequential damages
Loss of revenue, data, or business opportunities
Errors, omissions, or misunderstandings generated by AI systems
Total liability, if any, shall not exceed the amount paid for services during the prior billing period.
12. Indemnification
Clients agree to indemnify and hold harmless The Intellectual Stew LLC from any claims, damages, or liabilities arising from:
Misuse of services
Improper reliance on AI outputs
Violation of these Terms
13. Termination of Services
We reserve the right to suspend or terminate services:
For violation of these Terms
For non-payment
For misuse or abuse of services
Termination does not entitle the client to refunds.
14. Changes to Terms
The Intellectual Stew LLC may update these Terms at any time.
Continued use of services after changes are posted constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the state in which The Intellectual Stew LLC is registered, without regard to conflict of law principles.
